4. Account and Registration

If applicable, you are responsible for maintaining the security of your account and password. Piping Labs, LLC cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

5. Terms of Sale

  • Prices and taxes are stated at the time of purchase and may change without notice.
  • Payment is due upon purchase unless otherwise agreed in writing.

6. Consulting Services

  • The scope and duration of consulting services shall be specified in a Scope of Work.
  • Fees for consulting services shall be agreed upon before the commencement of any such services and are due as specified in the Service Agreement.
  • Both Piping Labs, LLC and the Client have obligations to act in good faith and provide all necessary information and cooperation to achieve the deliverables outlined in the Service Agreement.

7. Intellectual Property Rights

All intellectual property rights related to products and services provided by Piping Labs, LLC, including but not limited to content, logos, and trademarks, are the exclusive property of Piping Labs, LLC.

8. Confidentiality

Each party agrees to maintain the confidentiality of all proprietary information received from the other party, not to disclose such information to third parties without prior written consent, and to use such information solely in connection with fulfilling its obligations under these Terms.

9. Cancellation and Termination

Services may be terminated by either party in accordance with the terms set forth in the Service Agreement. Piping Labs, LLC reserves the right to cancel orders due to pricing errors, product discontinuation, or unavailability.

10. Warranties and Disclaimers

Piping Labs, LLC disclaims all warranties, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

Piping Labs, LLC's liability shall be limited to price paid for a product for the current term, or the price paid for a service engagement. We will not be liable for any indirect, incidental, punitive, or consequential damages of any kind related to these Terms.

12. Indemnification

You agree to indemnify and hold harmless Piping Labs, LLC from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

13. Dispute Resolution

Any disputes will be resolved by binding arbitration under the rules of the American Arbitration Association in the jurisdiction where Piping Labs, LLC is headquartered.

14. Changes to Terms and Conditions

Piping Labs, LLC reserves the right to modify these terms at any time. Changes will be posted on our website and become effective immediately upon posting.

15. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.
